These Terms and Conditions ("Terms") govern access to and use of OneHux Forge, a product and brand of OneHux ("OneHux," "we," "us," or "our"). By creating an account or otherwise using OneHux Forge, you agree to these Terms.

OneHux Forge is a brand and subsidiary product of OneHux. Use of OneHux Forge is also governed by OneHux's own group-wide Terms of Service and Privacy Policy, which apply to every OneHux product in addition to the Forge-specific terms set out here. If there is a direct conflict between these Terms and OneHux's group-wide terms on a Forge-specific matter, these Terms govern for that matter.

1. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and able to form a binding contract, to create an account. Accounts are created and authenticated through OneHux SSO. You are responsible for all activity that occurs under your account and must keep your credentials secure.

2. The Service

OneHux Forge lets a business ("Vendor") train a private AI agent on their own business data and deploy that agent across communication channels the Vendor connects, such as a website chat widget, WhatsApp, Instagram, Facebook Messenger, or phone. Vendors may activate additional capabilities ("specialist agents") such as booking, lead generation, content creation, and order placement, subject to their subscription plan.

3. Credits, Plans, and Payment

  • Certain actions (training data ingestion, chat messages, media generation, and specialist capabilities) consume credits from a Vendor's credit wallet, at rates disclosed within the product.
  • Credits may be purchased individually or granted monthly as part of a subscription plan. Unused monthly plan credits do not necessarily roll over unless stated otherwise at the time of purchase.
  • Subscription plans renew automatically until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period unless stated otherwise.
  • Payments are processed by OneHux Pay. All fees are exclusive of applicable taxes unless stated otherwise.
  • Except where required by law or expressly stated, purchased credits and subscription fees are non-refundable.

4. Vendor Responsibilities

As a Vendor, you are solely responsible for:

  • The accuracy and legality of any data you upload to train your agent, and for having the right to use and share that data.
  • Your agent's interactions with your own customers, including compliance with applicable consumer protection, advertising, and communications laws (for example, obtaining any consent required before messaging a customer on a channel like WhatsApp).
  • Maintaining valid authorization for every channel you connect (for example, being an authorized administrator of the Facebook Page or WhatsApp Business number you connect).
  • Any content your agent is configured to auto-post, and any consequences of publishing it.

5. Acceptable Use

You agree not to use OneHux Forge to:

  • Violate any applicable law or regulation, or the terms of any connected platform (including Meta's own Platform Terms and Community Standards).
  • Send unsolicited, deceptive, or abusive messages, or engage in spam.
  • Upload or generate content that is unlawful, infringing, defamatory, or that violates another person's privacy or intellectual property rights.
  • Attempt to circumvent credit metering, security controls, or tenant isolation between Vendors.
  • Reverse-engineer, resell, or use the service to build a directly competing product without our written consent.

We may suspend or terminate access for any account that violates this section.

6. Third-Party Platforms

Channels and AI providers connected through OneHux Forge (including Meta's WhatsApp Business Platform, Instagram, Facebook Messenger, telephony providers, and AI model providers) are operated by third parties under their own terms. We are not responsible for the availability, performance, or policies of those third-party platforms, and your use of a connected channel is also subject to that platform's own terms.

7. Intellectual Property

You retain all rights to the business data you upload and the content your agent generates on your behalf. You grant OneHux a limited license to host, process, and transmit that content solely to provide the service to you. OneHux and its licensors retain all rights to the OneHux Forge platform itself, including its software, design, and trademarks.

8. AI-Generated Content Disclaimer

OneHux Forge uses third-party AI models to generate responses, and while agents are trained on a Vendor's own data, AI-generated output can be inaccurate or incomplete. Vendors are responsible for reviewing how their agent is configured and for any reliance placed on its output, including by their own customers.

9. Termination

You may stop using OneHux Forge and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay amounts owed, or if required by law. Upon termination, your right to use the service ends immediately; certain provisions of these Terms (including Sections 7, 8, 10, and 11) survive termination.

10. Disclaimers and Limitation of Liability

OneHux Forge is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, OneHux and OneHux Forge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the service.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless a different governing law is required by applicable consumer protection law in your jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and, for material changes, provide additional notice such as an in-app notification or email. Continued use of OneHux Forge after a change takes effect constitutes acceptance of the updated Terms.
